Throughout these Terms, MUSTAFA BAYSAL PR Elselab is referred to as “Elselab”, “we”, “us”, or “our”.

2. Scope of Services

Elselab provides software-related services, which may include but are not limited to:

  • Custom software development
  • Web and mobile application development
  • API development and integrations
  • Automation tools
  • Technical consulting
  • Maintenance and support services

Services are provided remotely to clients worldwide unless otherwise agreed in writing.

3. Acceptance of Terms

By engaging Elselab’s services, accessing our website, or entering into a service agreement, you (“Client”, “you”) confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree with these Terms, you must not use our services.

4. Service Agreements and Deliverables

Specific details regarding scope, pricing, timelines, and deliverables will be defined in a separate written agreement, proposal, invoice, or statement of work.

Any changes to the agreed scope must be confirmed in writing and may result in additional fees or adjusted timelines.

5. Fees and Payments

  • Fees are agreed upon in advance and specified in invoices or written agreements.
  • Payments must be made within the timeframe stated on the invoice.
  • Late payments may result in suspension of services until payment is received.
  • All prices are exclusive of applicable taxes unless stated otherwise.

Elselab reserves the right to use third-party payment processors.

6. Intellectual Property

Unless otherwise agreed in writing:

  • Upon full payment, the Client receives ownership or a license to the final deliverables created specifically for them.
  • Elselab retains ownership of all pre-existing materials, tools, libraries, frameworks, and know-how.
  • Elselab may reuse general knowledge, skills, and non-client-specific components in future projects.

7. Client Responsibilities

The Client agrees to:

  • Provide timely and accurate information, content, and feedback
  • Ensure they have rights to any materials supplied to Elselab
  • Cooperate as reasonably required for project completion

Delays caused by the Client may affect delivery timelines and costs.

8. Confidentiality

Both parties agree to keep confidential any non-public, proprietary, or sensitive information disclosed during the course of the engagement, unless disclosure is required by law.

9. Third-Party Services

Elselab may integrate or rely on third-party services, platforms, or software. Elselab is not responsible for the availability, performance, or terms of such third-party services.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Elselab shall not be liable for indirect, incidental, or consequential damages.
  • Elselab’s total liability shall not exceed the amount paid by the Client for the specific service giving rise to the claim.

11. No Guarantee

Elselab does not guarantee specific business, financial, or commercial results from the use of its services or software.

12. Termination

Either party may terminate a service engagement with written notice, subject to the terms of any active agreement.

Upon termination:

  • The Client must pay for all services rendered up to the termination date.
  • Any outstanding invoices become immediately due.

13. Force Majeure

Elselab shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, internet outages, or governmental actions.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Serbia.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in Serbia.

15. Amendments

Elselab reserves the right to update or modify these Terms at any time. Updated versions will be effective upon publication.
